Indemnification Agreement

1. Broad Agreement to Indemnify

By using QB Flow, you (“Indemnifying Party”) agree to fully defend, indemnify, and hold harmless the Operator and each of its owners, officers, directors, members, managers, employees, contractors, agents, licensors, successors, and permitted assigns (collectively, “Indemnified Parties”) from and against any and all claims, demands, actions, suits, proceedings, losses, liabilities, damages, judgments, orders, penalties, fines, costs, and expenses (including reasonable attorneys’ fees, expert fees, and court costs) (collectively, “Losses”) arising out of or in any way related to:

1.1 Use and Deployment of Generated Output

  • Your use, testing, deployment, modification, copying, distribution, or reliance upon any code, script, formula, field configuration, or other output generated by QB Flow, regardless of whether that output was reviewed by a developer prior to use;
  • Any errors, security vulnerabilities, logic defects, or bugs in generated output that you deploy, distribute, or incorporate into any system;
  • Any data loss, corruption, system failure, security breach, unauthorized access, or business disruption resulting directly or indirectly from deploying or using generated output;
  • Any failure of generated output to function as expected due to changes by Quickbase, Inc. to its platform or APIs.

1.2 Quickbase Token and Credential Use

  • Your decision to provide your Quickbase® user token to QB Flow, whether or not you opted in to token storage;
  • Any unauthorized access to your Quickbase® application resulting from compromise, theft, or misuse of your user token, regardless of how such compromise occurred;
  • Your failure to revoke, rotate, or secure your user token after using QB Flow;
  • Any claim by Quickbase, Inc. arising from your use of a token in connection with QB Flow.

1.3 Breach of Terms and Violations

  • Your breach of any provision of these Terms, this Indemnification Agreement, or the Privacy Policy;
  • Your violation of any applicable federal, state, or local law or regulation;
  • Your infringement of any third-party rights, including intellectual property rights, privacy rights, or contractual rights.

1.4 User Representations and Conduct

  • Any inputs, prompts, or data you submit to QB Flow;
  • Any representation you make to any third party regarding QB Flow or its outputs;
  • Any misrepresentation that QB Flow is affiliated with, endorsed by, or authorized by Quickbase, Inc. or any other entity;
